Parking Advantage, Inc. and RezyPark

RezyPark is a registered DBA (doing business as) of Parking Advantage, Inc. These Terms of Service govern all operations conducted under both the Parking Advantage and RezyPark brands.

IMPORTANT: PLEASE CAREFULLY READ AND UNDERSTAND THESE TERMS OF SERVICE ("TERMS") BEFORE ACCESSING, USING, OR SUBMITTING INFORMATION THROUGH OUR WEBSITES OR PLATFORMS. THESE TERMS CONTAIN DISCLAIMERS OF WARRANTIES, LIMITATIONS OF LIABILITY, AND A MANDATORY ARBITRATION PROVISION. PLEASE RETAIN A COPY OF THESE TERMS FOR YOUR RECORDS.

Welcome to parkingadvantage.com and rezypark.com and any associated mobile applications (collectively, the "Platform"). This Platform is provided solely to assist customers in gathering parking information, determining the availability of parking goods and services, making legitimate reservations, and otherwise transacting business with parking operators and facility owners. The terms "we," "us," "our," and "Parking Advantage" refer to Parking Advantage, Inc. and its DBA RezyPark. The term "you" refers to the customer visiting the Platform and/or booking a reservation through us on this Platform or through our customer service agents.

This Platform is offered to you conditioned upon your acceptance, without modification, of all the terms, conditions, and notices set forth below (collectively, the "Agreement"). By accessing or using this Platform in any manner — including by scanning a QR code or NFC tag at a parking facility — you agree to be bound by this Agreement. Please read it carefully, as it contains important information about limitations of liability, dispute resolution, and your legal rights. If you do not accept all of these terms and conditions, please do not use this Platform.

THESE TERMS CONTAIN AN ARBITRATION CLAUSE AND CLASS ACTION WAIVER THAT WAIVE YOUR RIGHT TO A COURT HEARING AND RIGHT TO A JURY TRIAL. ARBITRATION IS MANDATORY AND IS THE EXCLUSIVE REMEDY FOR ANY AND ALL DISPUTES RELATED TO THIS PLATFORM, EXCEPT AS EXPRESSLY PROVIDED HEREIN.

We reserve the right, at our sole discretion, to modify this Agreement at any time without prior notice. Your continued access or use of this Platform following any modification signifies your acceptance of the updated Agreement. All changes will be posted with a revised "Last Updated" date.

1. Use of the Platform

As a condition of your use of this Platform, you represent and warrant that:

You are at least 18 years of age, or the age of majority in your jurisdiction of residence.
You possess the legal authority to create a binding legal obligation.
You will use this Platform only in accordance with this Agreement and all applicable laws.
You will only use this Platform to make legitimate reservations or parking transactions for yourself or for others for whom you are legally authorized to act.
You consent to Parking Advantage, Inc. contacting you with information relevant to your reservations and account.
All information you supply to us is true, accurate, current, and complete.
You will safeguard your account credentials and are solely responsible for all activity that occurs under your account.
We retain the right, at our sole discretion, to deny access to any person to this Platform and the services we offer, at any time and for any reason, including, without limitation, for violation of this Agreement or applicable law.

2. Services Provided and Facility Disclaimers

Parking Advantage, Inc. provides the following services through the Platform:

Displaying potential availability and pricing of parking spaces at facilities managed or serviced by us.
Processing transactions for parking reservations and scan-initiated parking sessions on behalf of facility owners and operators.
Collecting payments on behalf of parking facility owners and operators (the "Licensors") for reservations and transactions made through the Platform.

We operate parking facilities on behalf of property owners, leaseholders, landlords, or managers of those facilities (the "Licensors"), who in turn grant you a license to store or park your vehicle at such facilities. Information regarding parking facilities is provided to us by the Licensor. We do not independently verify all such information and cannot be held responsible for the content or accuracy of any facility-specific information provided by a Licensor.

Parking Advantage, Inc. does not:

Guarantee the availability of a specific physical parking space upon your arrival.
Assume responsibility for the security or safety of persons or vehicles at any parking facility.
Resolve disputes between parking facility operators and customers regarding facility conditions, rules, or physical operations.
Cover additional costs related to parking delays, overages, road conditions, or circumstances outside the scope of your reservation or parking session.

By using our services, you acknowledge that Parking Advantage, Inc. is not liable for damage, theft, vandalism, personal injury, or any other loss that may occur inside or outside of a parking facility. You park at your own risk. All on-site parking rules and conditions are set by the Licensor and are incorporated into your reservation or parking session by reference.

3. Payment Information and Authorization

Platform services may include parking reservations, scan-to-park, scan-to-pay, text-to-park, autostart, and pay-as-you-go transactions (each, a "Transaction"). When you initiate a Transaction through the Platform — including by scanning a QR code or NFC tag posted at a parking facility — we may ask you to supply payment information, including your credit card number, expiration date, billing address, cellphone number, vehicle information (including license plate number), and email address (collectively, "Payment Information").

By using our services, you authorize Parking Advantage, Inc. to store your Payment Information and expressly authorize us (or our third-party payment processor) to charge your provided payment method for:

The full cost of your Transaction, including all applicable taxes and disclosed service fees.
Any additional charges arising from parking overages, overstays, or lost ticket fees.
Future Transactions where you have elected a recurring or subscription-based service.

All payments for Transactions are non-refundable and non-transferable except as expressly provided for a particular location or specific product. If we are unable to complete a Transaction using your supplied Payment Information, you remain responsible for all amounts owed and must provide an alternative payment method.

Use of the Platform may result in service fees related to our deployment of the technology that enables mobile, online, and scan-based payment convenience. You agree to all pricing, payment, and billing policies posted or communicated to you at the time of your Transaction, including such service fees.

4. Scan-to-Park and Scan-to-Pay

We offer scan-to-park and scan-to-pay services at select parking facilities, enabling you to initiate and pay for a parking session by scanning a QR code or tapping an NFC tag posted at the facility using your smartphone or other mobile device.

Agreement Formation at Point of Scan: By scanning a QR code or NFC tag at any Parking Advantage or RezyPark facility to initiate a parking session or payment, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, our Privacy Policy, and our ALPR Policy, regardless of whether you have created an account or clicked a separate "I Agree" button. The act of scanning constitutes your electronic acceptance of this Agreement and initiates a binding Transaction.

Device and Session Data: When you scan a QR code or NFC tag to access our Platform, your device automatically transmits certain technical information to our systems, including your device type, operating system, browser or app version, and the date, time, and location of the scan. This information is collected and used in accordance with our Privacy Policy.

Session Timing: Your parking session begins at the time you initiate the scan and complete payment. Your session ends at the time you exit the facility or the time period you paid for expires, whichever comes first. Remaining in the facility beyond your paid session time may result in additional charges, which you authorize us to charge to your Payment Information on file.

QR Code and NFC Tag Integrity: You agree to use only official QR codes and NFC tags posted by Parking Advantage, Inc. or RezyPark at our facilities. We are not responsible for any fraudulent, tampered, or unauthorized codes or tags posted by third parties. If you believe a code or tag at a facility has been tampered with, please contact us immediately at help@parkingadvantage.com or help@rezypark.com.

5. Changes, Cancellations, and Overages

Monthly and Coupon Purchases: Changes or refunds for monthly parking permits and coupon-based purchases may only be processed with approval from the individual parking facility.

Hourly and Event Purchases: Reservations for hourly or event parking may be canceled up to 24 hours before the scheduled start date and time of the parking stay. No cancellations will be accepted within 24 hours of the reservation start time.

Scan-to-Park and Pay-as-You-Go Sessions: Scan-initiated and pay-as-you-go parking sessions are non-refundable once the session has been initiated and payment has been processed, except as required by applicable law or as expressly provided at a specific facility.

Parking Overages: Parking your vehicle outside of your reserved or paid time window — whether by arriving early or departing late — may result in additional charges assessed by the parking facility. You authorize us to charge such overage fees to your Payment Information on file.

6. Text-to-Park and Electronic Communications

We may offer a service that enables you to initiate a paid parking transaction by sending a text message from your smartphone. By sending a text message to begin a paid parking transaction, you opt in to this service and consent to receive SMS messages from us to complete and confirm your transaction.

Opt-Out: You may cancel the SMS Text-to-Park service at any time by texting STOP to the shortcode or number provided. After sending STOP, you will receive a final SMS confirming your unsubscription.

Help: Text HELP at any time for a list of supported commands and assistance.

Message and Data Rates: Standard message and data rates may apply. Contact your wireless provider for details regarding your plan.

You agree that we may communicate with you electronically, and that such communications — including notices, disclosures, agreements, and other information — are equivalent to written communications. We or our service providers may send you emails or text messages to: (1) provide information you have requested; (2) update you regarding your Transactions, including expiring parking time or extension options; (3) assist with reserving or initiating parking sessions; and (4) respond to customer service inquiries.

7. Privacy, Security, and ALPR Disclosure

Parking Advantage, Inc. is committed to protecting your privacy. All personal data we receive from you, whether through your use of the Platform, a scan-to-park or scan-to-pay session, or otherwise, will be handled in accordance with our Privacy Policy and our Automated License Plate Recognition (ALPR) Policy, both of which are incorporated into these Terms by reference and constitute a part of this Agreement.

By using the Platform, scanning a QR code or NFC tag at our facilities, or otherwise using our parking locations, you acknowledge that you have read and agree to our Privacy Policy and ALPR Policy. If you do not agree with either policy, please do not use our Platform or parking locations.

8. Intellectual Property

The Platform and all of its contents — including but not limited to text, images, software, data, graphics, logos, QR codes, NFC configurations, and the selection and arrangement thereof (collectively, the "Content") — are the property of Parking Advantage, Inc. or its content suppliers and are protected by applicable copyright, trademark, and other intellectual property laws.

You may not reproduce, copy, modify, distribute, create derivative works from, publicly display, republish, download, store, transmit, or otherwise exploit any Content for any commercial purpose without our express prior written consent. You may use Content solely for your personal, non-commercial use in connection with your use of the Platform.

9. Limitation of Liability and Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

EXCEPT WHERE PROHIBITED BY APPLICABLE LAW, IN NO EVENT SHALL PARKING ADVANTAGE, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, OR AGENTS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THESE TERMS, THE PRIVACY POLICY, THE ALPR POLICY, THE SERVICES, OR YOUR USE OF THE PLATFORM — INCLUDING USE OF ANY SCAN-TO-PARK OR SCAN-TO-PAY FEATURE — REGARDLESS OF WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS LIMITATION APPLIES TO ALL CLAIMS, WHETHER BASED IN CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY, AND INCLUDES, WITHOUT LIMITATION, ANY LOSS OF USE, LOSS OF PROFITS, LOSS OF DATA, OR PROPERTY DAMAGE AT PARKING FACILITIES.

IF, NOTWITHSTANDING THE ABOVE, PARKING ADVANTAGE, INC. IS FOUND LIABLE UNDER ANY THEORY, OUR TOTAL LIABILITY TO YOU WILL BE LIMITED TO THE GREATER OF (A) THE FEES PAID BY YOU FOR THE SPECIFIC AFFECTED TRANSACTION OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100.00).

Nothing in this Agreement limits or waives any rights you may have under applicable California consumer protection laws that cannot be waived by contract.

10. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Parking Advantage, Inc., its affiliates, officers, directors, agents, and employees from and against any and all claims, actions, losses, liabilities, damages, expenses, demands, and costs of any kind — including reasonable attorneys' fees — arising out of or resulting from: (1) your breach of these Terms; (2) your violation of any applicable law or regulation; or (3) your violation of the rights of any third party.

11. Dispute Resolution – Mandatory Binding Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Agreement to Arbitrate: You and Parking Advantage, Inc. agree that any dispute, claim, or controversy arising out of or relating to these Terms, our Privacy Policy, our ALPR Policy, or our products and services — including any question regarding the existence, validity, or termination of this Agreement — shall be resolved exclusively by final, binding, and confidential arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, before a single neutral arbitrator. The Federal Arbitration Act (FAA) governs the interpretation and enforcement of this arbitration provision. The arbitrator shall apply California substantive law to the extent consistent with the FAA.

Class Action Waiver: YOU AND PARKING ADVANTAGE, INC. EACH AGREE THAT ANY PROCEEDING, WHETHER IN ARBITRATION OR IN COURT, WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.

Jury Trial Waiver: BY AGREEING TO ARBITRATION, YOU ARE WAIVING YOUR RIGHT TO A TRIAL BY JURY.

Injunctive and Equitable Relief: Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction in Los Angeles County, California, to prevent irreparable harm, protect intellectual property rights, or address imminent injury pending the outcome of arbitration. Seeking such relief shall not constitute a waiver of the right to arbitrate the underlying dispute.

Informal Resolution First: Before initiating arbitration, you agree to first contact us at legal@parkingadvantage.com and describe your dispute in writing. We will attempt to resolve the dispute informally within 30 days of receiving your notice. If we cannot reach a resolution within that period, either party may proceed to arbitration.

Opt-Out Right: You may opt out of this arbitration provision and class action waiver by sending written notice to legal@parkingadvantage.com within thirty (30) days of the date you first use the Platform or make your first purchase. Your opt-out notice must include your name, the email address associated with your account, and a clear statement that you are opting out of arbitration.

AAA Rules and Fees: The AAA Consumer Arbitration Rules are available at www.adr.org. Filing fees and arbitrator compensation will be governed by those rules. For claims under $10,000, we will pay all AAA filing and arbitrator fees unless the arbitrator finds your claim to be frivolous.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. For any matters not subject to arbitration under Section 11, you consent to the exclusive personal jurisdiction of the state and federal courts located in Los Angeles County, California.

13. General Provisions

Severability: If any provision of this Agreement is found by a court or arbitrator to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

No Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment: You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may freely assign our rights and obligations under these Terms, including in connection with a merger, acquisition, or sale of assets.

Entire Agreement: These Terms, together with our Privacy Policy and ALPR Policy, constitute the entire agreement between you and Parking Advantage, Inc. with respect to the Platform and supersede all prior and contemporaneous agreements, representations, and understandings.

Headings: Section headings are for convenience only and shall not affect the interpretation of these Terms.
